DRAFT — pending legal review. Items in [square brackets] must be completed or confirmed before this page is final. Remove this notice and the noindex tag when done.
1. Who we are and scope
These Terms govern your use of the SaferEngineer website, the FMEDA Excel tool, the cloud services behind it (together, the “Service”). The Service is provided by SaferEngineer Inc., [STREET, CITY, STATE ZIP], United States (“we”, “us”). The Service is intended for business and professional use only. By creating an account or using the Service you confirm that you act for a business or in a professional capacity and that you are authorized to accept these Terms for your organization.
2. Accounts and seats
You must provide accurate account information and keep your sign-in credentials secure. You are responsible for all activity under your account. One subscription is for one organization. Seats are personal and may not be shared; the number of seats depends on your plan.
3. Plans, projects and fair use
The features and limits of each plan are shown on our Pricing page and may be summarized as follows:
- Project. One project is one product family together with its revisions and design variants (up to five variants that share most of the same architecture and components). Unrelated products, or products of other customers, require an additional project.
- Basic includes one active project and netlist input (Allegro PST, OrCAD DSN, XML) with a BOM. Pro includes up to five active projects, PDF schematic input and AI-assisted analysis within a monthly allowance. Enterprise is agreed individually.
- Fair use. We may measure usage (for example analysis runs and AI usage) and apply technical limits. Using one subscription to analyze multiple unrelated products or to serve multiple clients requires additional projects or a higher plan. We will first notify you and give you the chance to adjust before we restrict access, except where a limit is applied automatically by the Service.
4. Fees, billing and cancellation
Paid plans are billed in advance, monthly or annually, through our payment provider Stripe. Prices are shown excluding VAT and other taxes unless stated otherwise. Subscriptions renew automatically until cancelled; you can cancel at any time in the billing portal, effective at the end of the current billing period. Fees already paid are not refunded for the remaining period, except where mandatory law requires otherwise. Introductory prices apply to the subscription as long as it continues without interruption; for new subscribers we may change prices, and for existing subscribers only with at least 30 days’ notice effective at the next renewal. If a payment fails we may suspend paid features after a grace period.
5. Your content
“Your Content” means schematics, netlists, BOMs, datasheets, stress data and everything else you upload or enter. You keep all rights to Your Content. You grant us a limited license to process it solely to provide the Service to you (including sending it to the AI providers described in our Privacy Policy where you use AI features). We do not use Your Content to train AI models. Uploaded files and analysis sessions are deleted automatically [7 days] after their last use; you remain responsible for keeping your own copies. You confirm that you have the right to upload Your Content.
6. Acceptable use
You may not: attempt to access other customers’ data; probe, overload or circumvent the security or usage limits of the Service; reverse engineer the Service except where law permits; resell or share access; use the Service to build a competing product; or use it unlawfully. We may suspend access that endangers the Service or other customers.
7. Engineering responsibility — the Service is a tool, not a certification
The Service supports failure-rate calculation and FMEDA work according to standards such as ISO 26262, IEC 61508, ISO 13849, SN 29500 and IEC 62380. Results are an aid and must be reviewed, verified and approved by qualified engineers. We do not certify your product, do not guarantee compliance with any standard, and are not responsible for safety decisions made on the basis of the results. Failure-rate data, failure-mode distributions and AI-generated suggestions can be incomplete or wrong. A tool qualification report is available only where stated in your plan or contract.
8. AI-assisted features
AI features generate suggestions (for example failure-effect descriptions or datasheet extractions). They can contain errors and are not deterministic. You are responsible for checking them before use. AI features are subject to the monthly allowance of your plan.
9. Availability and support
We aim for high availability but do not guarantee uninterrupted operation; maintenance and third-party outages can occur. Support is provided as described for your plan. [Availability commitments for Enterprise are agreed in the contract.]
10. Warranty and liability
To the extent permitted by law the Service is provided “as is”. Nothing in these Terms limits liability that cannot be limited by law (for example for intent, gross negligence, or injury to life, body or health). Otherwise, our total liability arising out of the Service is limited to the fees you paid for the Service in the twelve months before the event. We are not liable for indirect or consequential damages, lost profit, or loss of data to the extent you could have prevented it by keeping your own copies. [Legal review: this clause must be adapted to the governing law chosen in section 13; limits on liability differ between jurisdictions.]
11. Term, termination and deletion
These Terms apply until the account is closed. You can close your account in the account page; deletion is carried out after a short grace period in which you can cancel it. We may terminate for material breach after a reasonable notice, or immediately for serious abuse. After termination your data is deleted as described in the Privacy Policy, except where we must retain it by law.
12. Changes to these Terms
We may update these Terms, for example when features or laws change. We publish the new version here with a new version number and ask you to accept it when you next sign in. Changes that are not to your disadvantage may apply without new acceptance. If you do not accept a material change you can cancel your subscription.
13. Governing law and jurisdiction
These Terms are governed by the laws of the State of [STATE], United States, without regard to its conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. For business customers the state and federal courts located in [COUNTY], [STATE] have exclusive jurisdiction, as far as legally permissible. Mandatory provisions of the law of your country that cannot be waived by contract remain unaffected. [Legal review: confirm choice of law and venue.]
